Terms of Service

These Terms of Service govern your access to and use of the Velocity by MedShift platform, websites, and related services (collectively, the “Services”), operated by MedShift, LLC. By accessing or using the Services, you agree to these Terms.

1. Agreement to Terms

By accessing or using the Services, you agree to be bound by these Terms of Service and all policies referenced herein. If you are entering into these Terms on behalf of a company or other organization, you represent that you have authority to bind that entity. If you do not agree, you may not use the Services.

2. Use of Services

MedShift grants you a limited, non-exclusive, non-transferable right to access and use the Services for your internal business purposes, subject to these Terms. You agree to use the Services only for lawful purposes and in accordance with any documentation and usage guidelines we provide.

3. Accounts and Registration

To access certain features you must register for an account and provide accurate, current, and complete information. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. Notify us promptly of any unauthorized use.

4. Intellectual Property

The Services, including all software, content, trademarks, and materials, are owned by MedShift, LLC or its licensors and are protected by intellectual property laws. Except for the limited license granted to you, no rights are transferred, and you may not copy, modify, distribute, or create derivative works without our prior written consent.

5. User Responsibilities

You are responsible for the data and content you submit through the Services and for ensuring you have the rights necessary to do so. You agree not to misuse the Services, interfere with their operation, attempt unauthorized access, or use them in a way that violates applicable law or the rights of others.

6. Payments and Subscriptions

Fees for the Services are described in your applicable order or subscription agreement. Unless otherwise stated, fees are billed in advance, are non-refundable except as required by law, and subscriptions renew automatically until cancelled in accordance with your agreement. You are responsible for all applicable taxes.

7. Termination

You may stop using the Services at any time. We may suspend or terminate your access if you breach these Terms, fail to pay applicable fees, or use the Services in a manner that may cause harm or legal liability. Upon termination, your right to use the Services ends, though certain provisions survive by their nature.

8. Disclaimers and Warranties

The Services are provided “as is” and “as available” without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Services will be uninterrupted, error-free, or secure.

9. Limitation of Liability

To the maximum extent permitted by law, MedShift, LLC and its affiliates will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, data, or goodwill, arising from your use of the Services. Our total liability for any claim will not exceed the amounts you paid for the Services in the twelve months preceding the claim.

10. Governing Law

These Terms are governed by the laws of the State of North Carolina, without regard to its conflict-of-laws principles. Any dispute arising from these Terms or the Services will be subject to the exclusive jurisdiction of the state and federal courts located in North Carolina.
